These Terms of Use ("Terms") govern your access to and use of the SoccerN platform, including our AI Tracker device ("Device(s)"), Mobile APP, Website, and related Services (collectively, the "Platform") operated by SoccerN Limited ("SoccerN", "we" or "us"). The Platform utilizes AIoT technology and blockchain technology to provide football-related services, including data collection, analysis, and monetization features. By accessing or using our Platform, you ("you", "User(s)" or "Buyer(s)") agree to be bound by these Terms.

1.Amendments to the Terms
SoccerN reserves the right to amend these Terms of Use from time to time. Amendments will be effective immediately upon notification on the Website, App or other service. Your continued use of the Platform following such notification will represent an agreement by you to be bound by the Terms of Use as amended. 2.Who May Use the Platform
You must be at least 18 years old, or the age of legal majority in your jurisdiction of residence, to access the Platform. We do not knowingly collect information from or direct any of our content specifically to children under the age of 18. If we learn or have reason to suspect that you are a User who is under the age of 18, we will unfortunately have to close your account. During your football activities, as a User you should abide by all safety precautions, including resting, hydrating and modifying as needed.
The Platform is offered only for your personal, non-commercial use. When interacting with the Platform, you should exercise with caution and common sense to protect your personal safety and health. You agree that SoccerN is not responsible or liable for any loss, damage, injury, or other matters of any sort incurred as a result of interacting with the Platform.
By using the Platform, you represent and warrant that your access to and use of the Platform is lawful in your country of residence.

3.Account Registration
3.1.Account Creation
SoccerN is free to use. To sign up for a user account, you must provide a valid email address and create a password which will be used to log in to your SoccerN account. Alternatively, you can create an account by signing on through your Google account or Telegram account.

3.2.Account Security
Please do not share your account information with third parties and observe other security best practices, such as choosing a strong password, using a password manager, using two-factor authentication, and storing your information securely.
We are not liable for the loss or theft of your password or other account information. It is your responsibility to take all measures to secure access to your login and account information, including your password. You are responsible for the actions of any person using your user account, even if they are using it without your prior consent.

4.The Platform
Access to the Platform is permitted on a temporary basis, and we reserve the right to withdraw or amend the services without notice. We will not be liable if, for any reason, the Platform is unavailable at any time or for any period. From time to time, we may restrict access to some parts or all of the Platform.
We may, from time to time, change the rate at which Users accumulate tokens using the Platform. We may reverse benefits allocated to you if we reasonably consider that the circumstances justify a reversal, for example, if they are allocated to you by mistake or if you accumulated them by misusing the Platform or in a way that is fraudulent, dishonest, or otherwise unacceptable.
You are responsible for ensuring the security of access to any digital wallet (a software program that stores your cryptocurrency and tokens) used by you in connection with the Platform. We make no representation and give no warranty that tokens accumulated through the Platform will have any particular value or any monetary value at all. You are liable for any loss or diminution in value of tokens.

5.Your Information, Content, and Feedback
5.1.Your Information
Please keep your user account information up to date. Note that, pursuant to legal and/or regulatory requirements, we may request additional information from time to time. We will contact you via your User account or the email associated with your user account if this is the case. 5.2.Your Content
You hereby grant and/or agree to grant to SoccerN the transferable, sub-licensable, free of charge, global right to exclusively use, copy, distribute, adapt, create derivative works, reproduce, modify, translate, and otherwise exploit any content you produce when using the Platform ("Content"). This includes, but is not limited to, username, comments, team composition, and team name. SoccerN may use this Content, in whole or in part, as provided or as modified, for commercial or promotional purposes through any present or future process and by any means of distribution on the Website, social networks, or media (such as Telegram, X, Instagram, etc.) or platforms (such as YouTube), e-banners, promotional emails or newsletters, and on SoccerN's intranet or in its internal documentation. 5.3.Your Feedback
We invite you to send us any feedback, comments, suggestions, or ideas you have regarding the Platform ("Feedback") via Discord, X, Telegram, or other social media platforms, or by email to our team. When you send us Feedback, you agree to grant SoccerN certain rights to that Feedback. These rights are transferable, sub-licensable, free of charge, and worldwide for the legal duration of the potential property rights in your Feedback. SoccerN may use, copy, distribute, adapt, create derivative works, reproduce, modify, translate, make publicly available, or publicly display your Feedback through any present or future process and by any means of distribution on the Website, social networks, or media (such as Telegram, X, Instagram, etc.) or platforms (such as YouTube), e-banners, promotional emails or newsletters, and on SoccerN's intranet or in its internal documentation.
6.Third-Party Content
The Platform may contain hyperlinks or references to third party websites or content. Any such hyperlinks or references are provided for your information and convenience only. We have no control over third-party websites and accept no legal responsibility for any content, material or information contained in them. The display of any hyperlink and reference to any third-party website does not mean that we endorse that third party’s website, products or services or opine on the accuracy or reliability of such information. Your use of a third-party site or application you consent to integrate with our Platform may be governed by the Terms of Use of that third-party site.

7.Privacy Policy
Our privacy policy, which sets out how we will use your personal information, can be found at https://soccern.io/privacy. By using the Platform, you consent to our collection, storage, use and disclosure of your personal information as set out in the privacy policy and warrant that all data provided by you is accurate.
8.Shopping Policy SoccerN facilitates the purchase of our Devices through cryptocurrency (USDT) or credit/debit card payments via our authorized third-party payment processing platforms (“Payment Processors”). In addition to these Terms, credit/debit card transactions are subject to the applicable provisions of the Payment Processors’ Terms of Use. Each device purchase includes perpetual access to associated services. Upon successful payment verification, orders will be processed for shipping. Due to the irreversible nature of blockchain transactions, we maintain a strict no-refund policy on all sales.

9.Disclaimer of Representations and Warranties
TO THE FULL EXTENT PERMITTED BY LAW, SOCCERN MAKES NO REPRESENTATION OR WARRANTY OF ANY KIND, IMPLIED OR EXPRESS, AS TO THE PLATFORM’S ACCURACY, COMPLETENESS OR APPROPRIATENESS FOR ANY PURPOSE.
10.User Representations and Warranties By using the Platform, you represent and warrant that you are physically fit and have no medical conditions that would prevent you from engaging in physical activity, and that you have consulted with a physician or general practitioner if you have any concerns. You also acknowledge that you are aware of the risks associated with physical activity and assume all responsibility for your own health and well-being.
11.Prohibitions
You must not misuse this Platform. This means that you must not (among other things):
1) commit or encourage a criminal offense;
2) transmit or distribute a virus, trojan, worm, logic bomb or any other material which is malicious, technologically harmful, in breach of confidence or in any way offensive or obscene;
3) hack into any aspect of the Platform, corrupt data, or cause annoyance to other Users;
4) infringe upon the rights of any other person's proprietary rights;
5) send any unsolicited advertising or promotional material, commonly referred to as “spam”;
6) attempt to affect the performance or functionality of any computer facilities of or accessed through this Platform;
7) use an emulator or similar third party software to cheat in accumulating benefits or gain an advantage;
8) make false, inaccurate, misleading or deceptive representations;
9) engage in fraudulent conduct or abuse, misuse or attempt to abuse or misuse the Platform;
10) submit any content that contravenes any laws;
11) infringe on the rights of any person who has a copyright, patent, trademark or any other form of intellectual property right, confidentiality or privacy;
12) contravene any applicable state, federal or international law or regulation;
13) engage in defamatory or libelous conduct towards any other person;
14) threaten or harass any other person;
15) publish or engage in obscene material that in SoccerN’s sole discretion, is in any way inappropriate or unsuitable for the platform;
16) publish or participate in publishing any malicious code, script or data that may causes harm, damage or interfere or modify the Platform without the express prior written consent from SoccerN; or
17) engage in conduct deemed contrary to the spirit of the Platform as determined by SoccerN in its sole discretion.
You agree that, except as these Terms of Use expressly provide otherwise, we do not need to notify you in advance or give you any reasons for any action we may take in connection with your misuse of the Platform, including suspending or canceling your access to the Platform.
We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of this Platform or to your downloading of any material posted on it, or on any third parties.
We are not liable for any loss of tokens or assets incurred as a result of the suspension or cancellation of your access to the Platform.

12.Intellectual Property
The intellectual property rights in all software and content (including images) made available to you on or through our Platform remain the property of SoccerN or its licensors and are protected by copyright laws and treaties around the world. All such rights are reserved by SoccerN and its licensors. You may store, print and display the content supplied solely for your own personal use. You are not permitted to publish, manipulate, distribute or otherwise reproduce, in any format, any of the content or copies of the content supplied to you or which appears on our Platform nor may you use any such content in connection with any business or commercial enterprise. You must not use the SoccerN’s trade marks (including names and logos) in any circumstances (including by linking on websites or social media) without the SoccerN’s prior written consent.

You grant to SoccerN a non-exclusive, irrevocable, global license (including the right to sublicense to third parties) to exercise the intellectual property rights in any content you submit through the Platform for any purpose.

13.Disclaimer as to Ownership of TradeMarks, Images of Personalities and Third Party Copyright
Except where expressly stated to the contrary all persons (including their names and images), third party trademarks and content, services and/or locations featured in the Platform are in no way associated, linked or affiliated with SoccerN and you should not rely on the existence of such a connection or affiliation. Any trade marks/names featured on the Platform are owned by the respective trademark owners. Where a trademark or brand name is referred to it is used solely to describe or identify the products and services and is in no way an assertion that such products or services are endorsed by or connected to SoccerN.

14.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOCCERN, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO: YOUR USE OR INABILITY TO USE THE SOCCERN SERVICES; ANY ERRORS, INACCURACIES, OR DEFICIENCIES IN THE SOCCERN SERVICES; ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; ANY STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SOCCERN SERVICES. IN NO EVENT SHALL SOCCERN'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT OF FEES, IF ANY, PAID BY YOU TO SOCCERN IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
15.Indemnity
To the maximum extent permitted by law, you are liable for and must indemnify, defend and hold harmless SoccerN, its directors, officers, employees, consultants, agents, and affiliates, from any and all liability, loss, damages, costs or third party claims (including, but not limited to, legal fees on an indemnity basis), however caused, in connection with:
1) your use of the Platform;
2) any User content submitted by you or on your behalf;
3) any breach of these Terms of Use by you;
4) any alleged or actual infringement of a third party’s intellectual property rights or other right in connection with your use of the Platform; or
5) any unlawful or negligent act of you or anyone acting on your behalf.
Each indemnity contained in these Terms of Use is a continuing obligation notwithstanding any settlement of account or the occurrence of any other thing, and it is not necessary for SoccerN to incur expense or make payment before enforcing or making a claim under an indemnity.

16.Invalidity
If any part of the Terms of Use are unenforceable (including any provision in which we exclude our liability to you) the enforceability of any other part of the Terms of Use will not be affected and all other clauses remain in full force and effect. So far as possible where any clause/sub-clause or part of a clause/sub-clause can be severed to render the remaining part valid, the clause must be interpreted accordingly. Alternatively, you agree that the clause must be rectified and interpreted in such a way that closely resembles the original meaning of the clause/sub-clause as is permitted by law.
17.Force Majeure We shall not be liable for any delay or failure caused by events beyond our control, including but not limited to natural disasters, wars, government actions, network interruptions, strikes, and epidemics. We will use reasonable efforts to minimize the impact of such events and resume service as soon as reasonably possible.
